How do i get nookingtons?

I have paid off every one of my debts and it is still the second shop

The above answer is wrong. Nookingtons is the fourth shop (third upgrade). You must trade with nook a certain amount, and also have a visitor buy/sell at nook's before he will upgrade to nookingtons. Check the FAQs for more help. (Selling counts as the amount needed in trading with nook).

The third shop (nookingtons) only comes to your town after you pay enough money to the store and you have a friend from another town visit you! Like in ds wireless hook up or wi fi connection hope i could be of help!
